The directors of TEAM IM are offering this capital raise at the same pricing as a recent investment by an iwi group, at a post-money valuation of $20.000 million if this offer is fully subscribed. Any over subscriptions will be pro-rated.
The minimum investment for this offer is $1,000 at $1.00 per Limited Partner Interest.
In respect of the offer all Limited Partner Interests will rank equally with all other Limited Partner Interests. The Limited Partnership Interests issued under this offer will be held in a nominee company to be established on the completion of this crowd funding raise.
This investment is subject to drag along and tag along rights as set out in the Limited Partnership agreement. Drag along rights mean that should the majority Limited Partner wish to sell it can compel minorities to sell at the same price. Tag along rights mean the minority Limited Partners can access the same sale price if a majority Limited Partner elect to sell its interest.
The Limited Partnership Agreement will be provided to those investors who subscribe for a Limited Partner interest through this offer.
